Marks the Face of Pharmacare and the Company’s Formal Representation
The Board of Directors comprises the ultimate decision-making oversight and the superior authority at Pharmacare. The Board exploits strategic schemes, monitors financial performance and challenges management integrity and functioning. The Board represents the governance body within the Group, and seeks to ensure that Pharmacare meets all due responsibilities to stakeholders and affiliations.
The Board’s directives are implemented by the Group’s CEO and the different General Managers comprising the management team. Management activities are complemented in the fulfillment of its responsibilities by the departmental directors within the Company.
Board Roles
Chairman and Chief Executive
Though these are two distinct roles, at Pharmacare they are carried out by the same person. Responsibilities pertaining to the roles of the Chairman and Chief Executive have been approved by the Board in written statements:
Chairman
- Company Ambassador
- Setting the agenda and the logistics for the Board to engage in their responsibilities, in consultation with the CEO and General Managers.
- Assuring that all functional members within the Board and its Executive Committee have had their voices heard.
- Communicating all pertinent company-related information to the different regulators for accurate documentation.
Chief Executive officer (CEO)
- Instructing in setting the Board of Director’s agenda and the minutes in coordination with management, timely reporting of all activities and affairs to the Board and administering effective implementation of Board’s decisions.
- Conferring strategic planning and proper implementation of the Company’s full potential and pursuing new business opportunities within and outside the current core activities.
- Assessing the operation of the governance structure and safeguards for shareholders; maintaining contact with stakeholders and act as an alternate contact for shareholders.
- Providing a communication channel between the Board of Directors and Departmental Directors and managers
- Overseas the operations, coordinates and manages activities of the various Departmental Directors and managers.
Vice Chairman
In the absence of Chairman of the Board of Directors, the Vice Chairman acts as an alternate.
Non-Executive Member of the Board Directors
The non-executive Board members are elected by the company’s shareholders for 2 year terms to set the company’s strategy, analysis data and engage in risk management operations. The Directors engage with management across the Group to assure full awareness of the Group’s activities and tackle potential problems it faces. The Non-Executive Directors also keep Pharmacare’s governance structure under review and verify that adequate safeguards are in place. It approves turnover and expenditure budgets and the company’s financial statements and recommends to shareholders approval of the financial statements, the dividends policy and any changes the company’s articles of association.
Boards Administrative assistant
The Board’s administrative assistant assists the Chairman and CEO. The assistant engages in agenda preparations, taking notes and finalising minutes. The secretary also supports the Chairman/ CEO and the Senior Independent Director in the delivery of their roles, particularly in relation to all PA responsibilities.
Introducing the Board of Directors
